Community Rules

Welcome to the community (the “Community”) operated by TechYeet LLC (“TechYeet”, “us”, “our” or “we”). The following rules (the “Rules”) govern your access to and use of the Community. Please read the Rules carefully before you access or use the Community.

By using the Community, you accept and agree to be bound and abide by the Rules. If you do not want to agree to the Rules, you must not access or use the Community.

Code of Conduct

Members and leaders of the Community may participate in virtual and in-person events, as well as initiatives further described at https://www.techyeet.org (collectively, the “Activities”). As a member of the Community, you must:

  • Be friendly, considerate, patient, and welcoming. We strive to be a community that welcomes and supports people of all backgrounds and identities.

  • Be respectful. Not all of us will agree all the time, but disagreement is no excuse for poor behavior and poor manners. We might all experience some frustration now and then, but we cannot allow that frustration to turn into a personal attack. It’s important to remember that a community where people feel uncomfortable or threatened is not a productive one. Members and leaders of the Community should be respectful when dealing with each other as well as with people outside of the Community.

  • When we disagree, try to understand why. Disagreements happen all the time and the TechYeet community is no exception. It is important that we resolve disagreements and differing views constructively. Remember that we’re different. The strength of the TechYeet community comes from its varied members and leaders, people from a wide range of backgrounds. Different people have different perspectives on issues. Being unable to understand why someone holds a viewpoint doesn’t mean that they’re wrong. Focus on helping to resolve issues and learning from mistakes. It is important that we resolve disagreements and differing views constructively.

  • When we are unsure, we ask for help. Nobody knows everything, and nobody is expected to be perfect in the TechYeet community. Asking questions avoids many problems down the road, and so questions are encouraged. Those who are asked questions should be responsive and helpful. However, when asking a question, care must be taken to do so in an appropriate forum.

  • Be careful with your words and actions. We are a community of professionals, and we conduct ourselves professionally. Do not insult or put down other members. Harassment and other exclusionary behavior is not acceptable and should be reported. This includes, but is not limited to:

    • Bullying or abusive behavior.

    • Violent threats or language directed against another person.

    • Discriminatory jokes and language.

    • Posting sexually suggestive, explicit or violent material.

    • Posting (or threatening to post) other people's personally identifying information ("doxing").

    • Personal insults, especially those using racist or sexist terms.

    • Unwelcome sexual attention.

    • Stalking, including taking non-consensual photography of community members or leaders.

    • Sustained disruptive activity during a community engagement, including written communication.

    • Advocating for, or encouraging, any of the above behavior.

    • Repeated harassment of others. In general, if someone asks you to stop, then stop.

    • Deliberately offensive behavior, language, images or other content - even if meant to be humorous (i.e. - "trolling").

  • Limit sales activities. This is a strict non-sales community. Sales posts are only allowed in the marketplace slack channel. Do not directly message other members or leaders with sales pitches either.

  • Always be safe. You agree to comply with all applicable policies and procedures, training, safety rules, and other instructions while participating in Activities.

  • Obey the law. You may not access or use the Community in any way that violates any applicable federal, state, local, or international law or regulation.

 

Member Contributions

The Community may contain message channels, Slack, Discord, Meetup, Social Media platforms, personal web pages or profiles, forums and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "Member Contributions") on or through the Community.

All Member Contributions must comply with the Content Standards set out in these Rules.

Any Member Contribution you post to the Community will be considered non-confidential and non-proprietary. By providing any Member Contribution on the Community, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that:

  • You own or control all rights in and to the Member Contributions and have the right to grant the license granted above to us and[our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.

  • All of your Member Contributions do and will comply with these Rules.

You understand and acknowledge that you are responsible for any Member Contributions you submit or contribute, and you, not TechYeet, have full responsibility for such content, including its legality, reliability, accuracy and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any Member Contributions posted by you or any other user of the Community.

Content Standards

These content standards apply to any and all Member Contributions. Member Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, Member Contributions must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.

  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.

  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Rules.

  • Be likely to deceive any person.

  • Promote any illegal activity, or advocate, promote, or assist any unlawful act.

  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.

  • Impersonate any person or misrepresent your identity or affiliation with any person or organization.

  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.

  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Monitoring, Enforcement and Termination

We have the right to:

  • Remove or refuse to post any Member Contributions for any or no reason in our sole discretion.

  • Take any action with respect to any Member Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such Member Contribution violates the Rules, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Community or the public, or could create liability for TechYeet.

  • Disclose your identity or other information about you to any third party who claims that material posted by you violates the third party’s rights, including the third party’s intellectual property rights or the third party’s right to privacy.

  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Community.

  • Terminate or suspend your access to all or part of the Community for any or no reason, including without limitation, any violation of these Rules.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Community. YOU WAIVE AND HOLD HARMLESS TECHYEET AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we cannot and do not undertake to review all material before it is posted on the Community and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Reliance on Information Posted

The information presented on or through the Community is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Community, or by anyone who may be informed of any of its contents. The Community may include content provided by third parties, including materials provided by other users, bloggers and third-party licensors, syndicators, aggregators or reporting services. All statements or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by TechYeet, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of TechYeet. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

Intellectual Property Rights

The Community and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection and arrangement thereof) are owned by TechYeet, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material from the Community.

You must not:

  • Modify copies of any materials from the Community.

  • Use any Community illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.

  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Community.

You must not access or use for any commercial purposes any part of the Community or any services or materials available through the Community except to the extent we expressly permit you to do so.

If you wish to make any use of material on the Community other than that set out in this section, please address your request to: Rules@techyeet.org

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Community in breach of these Rules, your right to use the Community will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Community or any content on the Community is transferred to you, and all rights not expressly granted are reserved by TechYeet. Any use of the Community not expressly permitted by these Rules is a breach of these Rules and may violate copyright, trademark, and other laws.

Disclaimer of Warranties

YOUR USE OF THE COMMUNITY, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE COMMUNITY IS AT YOUR OWN RISK. THE COMMUNITY, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE COMMUNITY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER TECHYEET NOR ANY PERSON ASSOCIATED WITH TECHYEET MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE COMMUNITY. WITHOUT LIMITING THE FOREGOING, NEITHER TECHYEET NOR ANYONE ASSOCIATED WITH TECHYEET REPRESENTS OR WARRANTS THAT THE COMMUNITY, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE COMMUNITY WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, OR THAT THE COMMUNITY OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE COMMUNITY WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY LAW, TECHYEET HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Confidentiality

TechYeet may disclose or make available to you information that a reasonable and prudent person would consider to be confidential or proprietary (“Confidential Information"). Confidential Information shall not include information that, at the time of disclosure: (i) is or becomes generally available to and known by the public other than as a result of, directly or indirectly, any breach of this Confidential Information section by you; (ii) is or becomes available to you on a non-confidential basis from a third-party source, provided that such third party is not and was not prohibited from disclosing such Confidential Information; (iii) was known by you or in your possession before being disclosed by or on behalf of TechYeet; (iv) was or is independently developed by you without reference to or use, in whole or in part, of any of TechYeet’s Confidential Information; or (v) is required to be disclosed by applicable law. You will: (A) protect and safeguard the confidentiality of TechYeet’s Confidential Information with at least the same degree of care as the you would protect you own Confidential Information, but in no event with less than a commercially reasonable degree of care and (B) not use TechYeet’s Confidential Information, or permit it to be accessed or used, for any purpose other than to exercise your rights or perform your obligations under these Rules.

Indemnification

You agree to defend, indemnify, and hold harmless TechYeet, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Rules, your participation in the Activities or your use of the Community, including, but not limited to, your Member Contributions, any use of the Community's content, services, and products other than as expressly authorized in these Rules, or your use of any information obtained from the Community.

Assumption of Risk

You are aware and understand that the Activities may expose you to a variety of foreseen and unforeseen hazards and risks. You acknowledge that you may voluntarily participate in the Activities and you have considered those risks. You hereby expressly and specifically assume such risks, including any and all risk of injury, harm or loss that you may incur as a result of your participation in the Activities.

Release and Waiver

You hereby fully and forever release and discharge TechYeet from, and expressly waive, any and all liability, claims and demands of whatever kind or nature, either in law or in equity, that may arise from your participation in the Activities. You agree not to make or bring any such claim or demand against TechYeet, and fully and forever release and discharge TechYeet from liability under such claims or demands. YOU UNDERSTAND THAT THIS RELEASE DISCHARGES TECHYEET FROM ANY LIABILITY OR CLAIM THAT YOU MAY HAVE AGAINST TECHYEET WITH RESPECT TO ANY BODILY INJURY, PERSONAL INJURY, ILLNESS, DEATH, PROPERTY DAMAGE OR PROPERTY LOSS THAT MAY RESULT FROM THE ACTIVITIES, WHETHER CAUSED BY THE NEGLIGENCE OF TECHYEET OR OTHERWISE.

Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL TECHYEET, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE COMMUNITY, ANY WEBSITE LINKED TO IT, ANY CONTENT ON THE COMMUNITY OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct or death or bodily injury caused by TechYeet.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Photographic Release

You understand and agree that during the Activities, you may be photographed and videos may be taken of you by TechYeet for internal or promotional use. You hereby grant and convey to TechYeet all right, title and interest, including but not limited to, any royalties, proceeds or other benefits, in any and all such photographs or recordings, and consent to TechYeet's use of your name, image, likeness and voice in perpetuity, in any medium or format, for any publicity without further compensation or permission.

Medical Treatment

You hereby give consent and authorize TechYeet to obtain medical treatment on your behalf if you are injured or require medical attention during your participation in the Activities. You understand and agree that you are solely responsible for all costs related to such medical treatment, medical transportation or evacuation. You hereby release, forever discharge and hold harmless TechYeet from any claim whatsoever in connection with such treatment or other medical services.

Insurance

YOU UNDERSTAND THAT TECHYEET DOES NOT ASSUME ANY RESPONSIBILITY FOR OR OBLIGATION TO PROVIDE FINANCIAL ASSISTANCE OR OTHER ASSISTANCE, INCLUDING BUT NOT LIMITED TO MEDICAL, HEALTH OR DISABILITY INSURANCE OF ANY NATURE. You expressly waive any claim for compensation or liability on the part of TechYeet in the event of any injury or medical expense.

Relationship

You may participate in the Activities for your own advantage and personal purposes and pleasure. You have not been coerced to participate in the Activities. You understand you will receive no compensation or remuneration and you will not be eligible for any employee benefits. You acknowledge that you are not a TechYeet employee.

Severability

If any provision of these Rules is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Waiver

No waiver by TechYeet of any term or condition set out in these Rules shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of TechYeet to assert a right or provision under these Rules shall not constitute a waiver of such right or provision.

Changes

We reserve the right to withdraw or modify any part of the Community, and any service or material we provide to the Community, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Community is unavailable at any time or for any period.  Similarly, we may revise and update these Rules from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Community thereafter. Your continued use of the Community following the posting of revised Rules means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

Law

You hereby agree that these Rules are intended to be as broad and inclusive as permitted, and that these Rules shall be governed by and interpreted in accordance with the laws of the State of Colorado, without reference to any choice of law doctrine.

Jurisdiction

Any legal suit, action, or proceeding arising out of, or related to, these Rules or the Community shall be instituted exclusively in the federal courts of the United States or the courts of the State of Colorado, in each case located in the City of Denver and County of Denver. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Entirety

These Rules represents the full understanding between TechYeet and you and supersede all other prior agreements, understandings, representations and warranties, both written and oral, between us, with respect to the subject matter hereof, except (i) TechYeet Marketplace Agreements; (ii) other prior agreements, understandings, representations and warranties that expressly indicate that are not so superseded and (iii) with respect to Activities on meetup.com, the polices and community guidelines at https://help.meetup.com/hc/en-us/categories/360000089471-Policies-and-Community-Guidelines
